SUMMARY:     Provided for the Board’s review is Attachment 4-A, the Amendment Number One Agreement for Employment of General Manager.  This is the amendment to General Manager David A. Berger’s employment contract that General Counsel Laredo prepared at the direction of, and as was discussed by the Directors at the January 25, 2006 Closed Session of the Board.

 

RECOMMENDATION:   The Board should adopt the amendment to General Manager Berger’s employment agreement.

 

BACKGROUND:   General Manager Berger and the Board entered into an Employment Agreement dated June 21, 2004 (refer to Exhibit X of Attachment 4-A), the term of which ends on June 30, 2006. Section I.B of that Agreement provides that the parties shall meet to discuss its renewal not later than February 28, 2006.  Based on discussion between the parties, the Board directed General Counsel Laredo to prepare for its consideration of an Amendment to the Agreement, Section II of which extends its term to June 30, 2008.  Sections III, IV and V continue the General Manager’s salary and fringe benefits at existing levels and update time frames set out in the Employment Agreement for performance evaluation, physical exam and deferred compensation.  Section VI updates General Manager Berger’s home mailing address to receive official notices from the District.
